Personal, Business and Tax Law
The increasing complexity of the tax laws makes it more
and more difficult to plan for the accumulation, conservation
and disposition of wealth. Married and unmarried individuals,
with or without children, must meet the challenges of organizing
their affairs to provide for the financial security of their
loved ones in a tax-efficient manner that meets the special needs
of those individuals.
We assist our clients in the management, protection and transmission
of wealth, the succession to control of businesses, and other
personal and family concerns. We provide advice on planning
for the minimization of transfer and income taxes through gifts,
partnerships, trusts, LLCs, installment sales, and other transfers.
We draft wills, trusts, powers of attorney, health care instruments
and other agreements and documents to implement plans. We also
assist clients in the planning and implementation of charitable
contributions and enterprises, including the drafting and administration
of charitable trusts, split-interest gifts and foundations.
Individuals involved in business must structure their businesses
in a way that will both prevent business risks to threaten
their accumulated wealth and also allow their businesses to
prosper. Relationships with partners and employees must be
structured in a manner that will minimize risk, provide mechanisms
for resolving disputes and plan for disability and death in
a way that will not threaten the continuity of the business
but will also provide appropriate compensation for an employee
or key business owner who suffers personal misfortune. Finally,
plans must be made so that the individual’s assets are
disposed of at his or her death in a manner that will minimize
the impact of estate and inheritance taxes while providing
a secure future for the survivors.
We represent both emerging and established businesses in their
most important transactions, from start-up through reorganizations,
financings, mergers and acquisitions. We seek to develop long-term
relationships with our clients in which our lawyers serve as
trusted strategic, as well as legal, advisors.
We work closely with our clients to understand their objectives
and to implement plans and strategies to meet those objectives.
We have formulated hundreds of business and estate plans designed
to meet the particular and specific needs of our clients. We
are experienced in dealing with special assets, including family
businesses and foreign assets as well as the unique family
situations of our domestic and international clients.
We also have assisted many clients who have encountered problems
with federal and state taxing authorities, helping to work
out those problems with IRS and various state departments of
taxation in a manner that preserves our clients’ business
interests and standards of living.
We have assisted many families with the practical and legal
problems confronting them when a loved one dies, assisting
in the administration of our clients’ estates and also
representing executors, trustees and beneficiaries.
We advise clients regarding the administration of estates,
trusts and guardianships and preparation of related court filings
and income, gift and estate tax returns. We regularly represent
estates, trusts, guardians and beneficiaries in relations and
disputes among themselves and with third parties and taxing
authorities.
